MERGER/AMALGAMATION
Слияние
Объединение двух или нескольких компаний на добровольной основе. Можно выделить три категории слияний: горизонтальное (объединение компаний, которые являются прямыми конкурентами на одном рынке), вертикальное (объединение компаний, которые свя заны между собой последовательными стадиями производства) и конгломератное (объединение компаний, действующих на разных рынках и стремящихся диверсифицировать свою деятельность). С точки зрения отдельной компании слияние является выгодным, т.к. дает ей возможность снизить издержки производства и сбыта, расширить свою деятельность, устранить нежелательную конкуренцию и усилить свою власть на рынке. С точки зрения отрасли в целом слияния, с одной стороны, повышают эффективность использования ресурсов, а с другой стороны, ослабляя конку ренцию, приводят к менее эффективному распределению ресурсов. С 1973 г. согласно британскому законодательству все слияния, которые приводят к увеличению рыночной доли новой компании до 25% или стоимость активов которых превышает Ј70 млн., должны согласовываться в Комиссии по конкуренции на предмет их соответствия интересам общества.
